These Terms & Conditions (“Terms”) form a legally binding agreement between you (“you”) and VerdictScout (“VerdictScout”, “we”, “us”, “our”) governing your access to and use of https://verdictscout.com, including all sub-pages, content, the email newsletter, and any other services we offer (collectively the “Services”). By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy and our Affiliate Disclosure, each incorporated by reference. If you do not agree, do not use the Services.
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to enter into these Terms. By using the Services you represent that you meet this requirement.
VerdictScout publishes editorial opinion about software products. Every article is the publisher's good-faith assessment based on publicly-available information, vendor documentation, and our own evaluation methodology described on our About page. Software pricing, features, and policies change frequently. We re-verify pricing on each review approximately every quarter and date-stamp every page, but we cannot guarantee that any specific fact on this site is correct as of the moment you read it. You are responsible for verifying current pricing and terms with the vendor before purchasing.
VerdictScout earns affiliate commissions when you click outbound links to certain reviewed tools and become a paying customer. The commission relationship does not influence our editorial opinions: tools that pay higher commissions do not get higher ratings; tools without affiliate programmes are recommended whenever they're a better fit. Any transaction you enter into with a third-party vendor is solely between you and that vendor. VerdictScout is not a party to that transaction, has no control over the vendor's services, and disclaims all responsibility for it.
All content on the Services — including text, graphics, the VerdictScout name and logo, the editorial structure of our reviews, our pricing-comparison tables, and the underlying software — is owned by VerdictScout or our licensors and is protected by copyright, trademark, and other laws of the United States and other countries. The compilation of all content (the way reviews are organised, structured, and presented) is the exclusive property of VerdictScout.
You may: read content for personal, non-commercial use; print or save individual articles for your own reference; share short excerpts (no more than 150 words) on social media or in correspondence with attribution and a link back to the original page; link to any page on the Services using the page title as the anchor text.
You may not, without our prior written permission: reproduce, distribute, publicly display, modify, translate, or create derivative works of our content; scrape or extract content using automated means; use our content to train artificial-intelligence models or similar systems; remove or obscure any copyright or other proprietary notice; use our trademarks, logos, or trade dress in any way that is likely to cause confusion about source or endorsement; frame the Services or any portion of them within another website; use any meta-tags or hidden text containing our name or trademarks for SEO purposes.
Tool brand names, monogram icons, and other vendor identifiers used on the Services are presented for editorial reference only. The depicted brands are the trademarks of their respective owners and we claim no endorsement, affiliation, or sponsorship beyond the affiliate relationships explicitly listed on our Affiliate Disclosure. Our monogram representations are illustrative editorial devices, not reproductions of the vendors' actual logos.
If you send us suggestions, corrections, or other feedback, you grant us a worldwide, royalty-free, perpetual, irrevocable, fully sublicensable licence to use, reproduce, modify, publish, and distribute that feedback in any form. We are under no obligation to respond to or act on feedback.

WITHOUT LIMITING THE FOREGOING, VERDICTSCOUT MAKES NO WARRANTY THAT: (a) THE SERVICES OR ANY CONTENT WILL BE ACCURATE, RELIABLE, OR CURRENT; (b) THE SERVICES WILL MEET YOUR REQUIREMENTS; (c) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (d) THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (e) ANY ERRORS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VERDICTSCOUT, ITS OPERATOR, OR ANY OF ITS EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, OR ANY CONTENT, OR ANY THIRD-PARTY PRODUCT OR SERVICE REACHED THROUGH THE SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF VERDICTSCOUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, VERDICTSCOUT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100).
The limitations of this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you in their entirety; in those jurisdictions our liability is limited to the smallest amount permitted by law.
You agree to indemnify, defend, and hold harmless VerdictScout, its operator, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content you submit to us through the Services.
If you opt in to our quarterly newsletter you agree that we may send you the newsletter and occasional editor's-note correspondence to the email address you provided. Each email contains an unsubscribe link; clicking it removes you from the list. You can also unsubscribe by emailing hello@verdictscout.com.
VerdictScout respects the intellectual-property rights of others. If you believe content on the Services infringes your copyright, send a notice to hello@verdictscout.com with the following information required by 17 U.S.C. § 512(c)(3): (a) a physical or electronic signature of the rights-holder or authorised agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it (e.g., the URL); (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised by the rights-holder, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the rights-holder or authorised to act on behalf of the rights-holder. We will respond to properly-formatted notices.
These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Please read this section carefully. It affects your legal rights.
Before filing any formal claim, you agree to first try to resolve the dispute informally by emailing hello@verdictscout.com with a description of the dispute and the resolution you seek. We will try to resolve the dispute informally for at least 60 days from receipt of your notice.
If we cannot resolve the dispute informally within 60 days, all disputes, controversies, and claims arising out of or in connection with these Terms or the Services (other than those described in section 13.4 below) will be finally resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures then in effect, by a single arbitrator. The seat and place of arbitration will be Wilmington, Delaware, USA. The arbitration will be conducted in English. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
YOU AND VERDICTSCOUT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable, then the entirety of section 13 (Dispute Resolution) is null and void.
Notwithstanding the above, either party may: (a) bring an individual claim in small-claims court if the dispute qualifies; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual-property rights; (c) bring a claim in court for unpaid invoices.
You may opt out of the arbitration agreement and class-action waiver in section 13 by emailing hello@verdictscout.com within 30 days of first accepting these Terms with the subject line “Arbitration opt-out” and stating your intent to opt out. Opting out has no other effect on these Terms.
We may modify these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be flagged in the next quarterly newsletter and / or a top-of-page notice for at least 30 days. Your continued use of the Services after a change becomes effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Services.
We may suspend or terminate your access to the Services at any time, for any reason, without notice or liability. All provisions of these Terms which by their nature should survive termination will survive, including without limitation sections 4 (Intellectual property), 7 (Disclaimer), 8 (Limitation of liability), 9 (Indemnification), 12 (Governing law), and 13 (Dispute resolution).
Entire agreement. These Terms, together with the Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and VerdictScout concerning the Services and supersede any prior or contemporaneous agreements, communications, or proposals.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be reformed to the minimum extent necessary to make it valid and enforceable.
Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or transfer these Terms without restriction, including to any successor in interest.
No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and VerdictScout.
Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including without limitation natural disasters, war, terrorism, pandemic, government action, internet or hosting-provider outages, or labour disputes.
Headings. Section headings are for convenience only and do not affect interpretation.
Notices. Notices to VerdictScout under these Terms must be sent to hello@verdictscout.com. Notices to you may be sent by email to the address associated with your newsletter subscription, by posting to the Services, or by any other reasonable means.
Language. These Terms are drafted in English. Any translation is for convenience only; in the event of a conflict the English version prevails.
